1. Agreement
These Terms & Conditions ("Terms") govern your access to and use of the Atlas Technologies website and the Atlas WhatsApp automation platform (the "Services"), operated by Novaris Holdings Ltd ("Atlas", "we"). By using the Services you agree to these Terms. Specific commercial terms are set out in your customer agreement or order form. [Terms to be finalized following legal review.]
2. Eligibility and accounts
You must be authorized to bind your business to these Terms. You are responsible for keeping account credentials confidential and for all activity under your account.
3. Acceptable use
You agree not to misuse the Services, including sending unsolicited messages, violating the WhatsApp Business Messaging Policy, infringing intellectual property, or attempting to disrupt the Services. Atlas may suspend accounts that violate these rules.
4. Customer data
You retain ownership of your customer data. You grant Atlas the rights necessary to process that data to provide the Services. Our handling of personal information is described in our Privacy Policy.
5. Third-party platforms
The Services rely on the official WhatsApp Business Platform operated by Meta. Your use of that platform is also subject to Meta's terms and policies. Atlas is not responsible for outages, changes or actions taken by Meta.
6. Fees and payment
Fees, billing cycles and payment terms are set out in your order form. Meta conversation charges are billed separately and may vary by country and message category. [Full fee terms to be confirmed following legal review.]
7. Confidentiality
Each party will protect the other's confidential information using at least the same degree of care it uses for its own confidential information.
8. Warranties and disclaimers
The Services are provided "as is" and, to the maximum extent permitted by law, without warranties of any kind, whether express, implied or statutory.
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenues. [Liability caps to be finalized following legal review.]
10. Termination
Either party may terminate for material breach if the breach is not cured within a reasonable period. Upon termination, your right to use the Services ends and Atlas will delete customer data in accordance with our agreement and applicable law.
11. Governing law
These Terms are governed by the laws of Trinidad & Tobago, without regard to conflicts-of-law principles, unless otherwise agreed in a customer agreement. [Jurisdiction to be finalized following legal review.]
